1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Alconio Web Services ("Alconio," "we," "us," or "our"), governing your access to and use of our website design services, client dashboard, and any related services (collectively, the "Services").
BY ENGAGING OUR SERVICES, SIGNING A SERVICE AGREEMENT, OR ACCESSING THE CLIENT DASHBOARD, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OUR SERVICES.
These Terms apply to all clients, visitors, and others who access or use our Services. We reserve the right to update these Terms at any time. Continued use of our Services following notice of changes constitutes acceptance of the updated Terms.
2. Description of Services
Alconio provides custom website design and development services for small businesses and organizations. Our Services include, but are not limited to:
- Custom website design and development using HTML, CSS, and JavaScript
- Website hosting setup and configuration on third-party hosting platforms
- Access to a client dashboard for viewing website analytics, performance metrics, and site management tools
- Ongoing website maintenance as specified in your individual Service Agreement
- Technical support as outlined in your Service Agreement
The specific scope of Services provided to you is governed by your individual Service Agreement, Statement of Work, or proposal document. In the event of any conflict between these Terms and your Service Agreement, the Service Agreement shall control with respect to the specific Services described therein.
3. Client Dashboard Access
3.1 Dashboard Access
As part of our Services, clients may be granted access to a secure online dashboard (the "Dashboard") that provides analytics, performance data, and website management tools. Access to the Dashboard is provided solely for your internal business purposes.
3.2 Account Security
You are responsible for maintaining the confidentiality of your Dashboard login credentials. You agree to:
- Keep your login credentials strictly confidential
- Not share your account access with any unauthorized third parties
- Notify us immediately of any unauthorized access or suspected security breach
- Ensure all activity under your account complies with these Terms
Alconio is not liable for any loss or damage arising from your failure to maintain the security of your account credentials.
3.3 Dashboard Data
Analytics and performance data displayed in the Dashboard is sourced from third-party services including Google Analytics. Alconio does not guarantee the accuracy, completeness, or timeliness of such data. All data displayed is provided for informational purposes only and should not be relied upon as the sole basis for business decisions.
3.4 Dashboard Availability
We strive to maintain Dashboard availability but do not guarantee uninterrupted access. The Dashboard may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Alconio is not liable for any losses arising from Dashboard downtime or unavailability.
4. Payment Terms
4.1 Fees
Fees for our Services are set forth in your individual Service Agreement. All fees are in United States Dollars (USD) unless otherwise specified. You agree to pay all fees in accordance with the payment schedule set forth in your Service Agreement.
4.2 Late Payments
In the event of a late payment, the following applies:
- A flat late fee of fifteen percent (15%) will be applied to any outstanding balance not received by the due date
- Services may be suspended if payment is not received within thirty (30) days of the due date
- Your website may be taken offline if payment is not received within sixty (60) days of the due date
- You remain responsible for all fees incurred prior to suspension or termination
4.3 Refunds
All fees paid to Alconio are non-refundable except as expressly provided in your Service Agreement or as required by applicable law. We do not provide refunds for completed work, partial months of service, or unused Dashboard access.
4.4 Taxes
You are responsible for all applicable taxes, levies, or duties associated with your purchase of Services, excluding taxes based on Alconio's net income.
5. Intellectual Property
5.1 Ownership of Deliverables
Upon receipt of full payment for all Services rendered, Alconio assigns to you all right, title, and interest in the final website deliverables specifically created for you under your Service Agreement. This assignment excludes any third-party components, open-source software, or pre-existing materials used in the development of your website.
5.2 Alconio Retained Rights
Alconio retains ownership of all pre-existing tools, frameworks, templates, methodologies, code libraries, and intellectual property developed prior to or independently of your project. Nothing in these Terms transfers ownership of Alconio's proprietary tools or processes to you.
5.3 Portfolio Rights
You grant Alconio a non-exclusive, royalty-free, perpetual license to display your completed website in our portfolio, case studies, and marketing materials unless you expressly request otherwise in writing prior to project completion.
5.4 Third-Party Materials
You are responsible for obtaining all necessary licenses, permissions, and rights for any content, images, text, logos, or other materials you provide to Alconio for inclusion in your website. You represent and warrant that you have the right to use all materials provided and that such use does not infringe the intellectual property rights of any third party.
6. Client Responsibilities
You agree to:
- Provide accurate, complete, and timely information, content, and feedback necessary for us to perform the Services
- Respond to requests for approvals, feedback, or materials within a reasonable timeframe
- Ensure that all content and materials you provide do not violate any applicable law or third-party rights
- Maintain current and accurate billing information
- Use the Dashboard and our Services only for lawful purposes
- Not attempt to reverse engineer, decompile, or otherwise circumvent any security measures on the Dashboard
- Not use our Services to transmit any harmful, offensive, or unlawful content
Delays caused by your failure to fulfill these responsibilities may result in project delays and additional fees. Alconio is not responsible for any delays or failures resulting from your non-performance.
7. Revisions and Change Requests
The number of revision rounds included in your project is specified in your individual Service Agreement. Revision requests that exceed the agreed-upon scope, or that constitute new features or significant changes to the original project brief, may be subject to additional fees at our standard hourly rate.
All revision requests must be submitted in writing. Verbal revision requests will not be acted upon until confirmed in writing by Alconio.
8. Term and Termination
8.1 Term
Unless otherwise specified in your Service Agreement, your engagement with Alconio begins on the date you execute your Service Agreement and continues for a minimum period of twelve (12) months (the "Initial Term"), after which it renews on a month-to-month basis unless terminated in accordance with these Terms.
8.2 Termination by Client
You may terminate your Services by providing written notice to Alconio. You remain responsible for all fees accrued through the end of the current billing period and any applicable early termination fees as specified in your Service Agreement.
8.3 Termination by Alconio
Alconio reserves the right to terminate or suspend your Services immediately, without prior notice, if:
- You breach any provision of these Terms or your Service Agreement
- Payment is not received within the timeframes specified in Section 4
- You engage in conduct that Alconio determines, in its sole discretion, to be harmful to Alconio or its other clients
- We are required to do so by law
8.4 Effect of Termination
Upon termination, your access to the Dashboard will be revoked. Alconio reserves the right to take down your website upon termination if outstanding fees remain unpaid. You remain responsible for all fees accrued prior to the effective date of termination.
9. Disclaimers and Limitations
9.1 No Guarantee of Results
ALCONIO DOES NOT GUARANTEE ANY SPECIFIC BUSINESS RESULTS, SEARCH ENGINE RANKINGS, TRAFFIC LEVELS, CONVERSION RATES, OR REVENUE OUTCOMES FROM YOUR WEBSITE OR OUR SERVICES. WEBSITE PERFORMANCE IS SUBJECT TO NUMEROUS FACTORS OUTSIDE OF ALCONIO'S CONTROL.
9.2 Third-Party Services
Our Services may integrate with or depend upon third-party services including hosting providers, analytics platforms, payment processors, and authentication providers. Alconio is not responsible for the availability, accuracy, or performance of such third-party services. Your use of third-party services is subject to those providers' own terms and conditions.
9.3 Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ALCONIO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ALCONIO, ITS OWNERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, business opportunities, or goodwill
- Damages arising from third-party service outages, data breaches, or security incidents outside of Alconio's direct control
- Damages resulting from your failure to maintain secure login credentials
- Damages arising from reliance on Dashboard analytics or performance data
IN ALL CASES, ALCONIO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO ALCONIO IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Alconio and its owners, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your breach of these Terms or your Service Agreement
- Your violation of any applicable law or third-party right
- Any content or materials you provide to Alconio
- Your use of the Services in a manner not authorized by these Terms
- Any claim that your website or content infringes the intellectual property or other rights of a third party
12. Confidentiality
Each party agrees to keep confidential any proprietary or non-public information of the other party disclosed in connection with the Services, including but not limited to business strategies, pricing, technical processes, and client data. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.
13. Privacy and Data
Our collection and use of personal information in connection with the Services is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.
With respect to your end users' data collected through website analytics, you are responsible for maintaining your own privacy policy and obtaining any necessary consents from your website visitors as required by applicable law.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
14.2 Informal Resolution
Before filing any formal legal claim, you agree to attempt to resolve the dispute informally by contacting Alconio. We will attempt to resolve the dispute informally within thirty (30) days of receiving notice.
14.3 Binding Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration against Alconio.
15. General Provisions
15.1 Entire Agreement
These Terms, together with your Service Agreement and any other documents expressly incorporated herein, constitute the entire agreement between you and Alconio.
15.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15.3 Waiver
Alconio's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
15.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without Alconio's prior written consent. Alconio may assign its rights and obligations under these Terms without restriction.
